End-User License Agreement ("License Agreement") of Coco by Women In Work

This End-User License Agreement ("License Agreement") is a legal agreement between you and Women In Work Limited.

This License Agreement governs your acquisition and use of our Coco by Women In Work software ("Software") directly from Women In Work Limited or indirectly through a Women In Work Limited authorized reseller or distributor (a "Reseller"), as well as access or use of you from any country in the world of applications, websites, content, products, and services ("Services") made available by Women In Work Limited, a private company established in Hong Kong, having its principal office located at Unit C12, 11/F, Tai Cheong Factory Building, 3 Wing Ming Street, Lai Chi Kok, Hong Kong ("The Company").

Please read this License Agreement carefully before completing the installation process and using the Coco by Women In Work software. It provides a license to use the Coco by Women In Work software and contains warranty information and liability disclaimers.

If you register for a free trial of the Coco by Women In Work software, this License Agreement will also govern that trial. By clicking "accept" or installing and/or using the Coco by Women In Work software, you are confirming your acceptance of the Software and agreeing to become bound by the terms of this License Agreement.

If you are entering into this License Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity and its affiliates to these terms and conditions. If you do not have such authority or if you do not agree with the terms and conditions of this License Agreement, do not install or use the Software, and you must not accept this License Agreement.

This License Agreement shall apply only to the Software supplied by Women In Work Limtied herewith regardless of whether other software is referred to or described herein. The terms also apply to any Women In Work Limited updates, supplements, Internet-based services, and support services for the Software, unless other terms accompany those items on delivery. If so, those terms apply.

The Services

The Services constitute a technology platform that enables users of Coco by Women In Work to pre-purchase coffee and redeem coffee upon private, physical meetups with other users on Coco by Women In Work through various opportunities to match, create, connect and communicate.

License Grant

Women In Work Limited hereby grants you a personal, non-transferable, non-exclusive license to use the Coco by Women In Work software on your devices in accordance with the terms of this License Agreement.

You are permitted to load the Coco by Women In Work software (for example a PC, laptop, mobile or tablet) under your control. You are responsible for ensuring your device meets the minimum requirements of the Coco by Women In Work software.

You are not permitted to do or share anything:
  1. That is Objectionable Content. Objectionable Content means content that:
    (i) is pornographic, illegal, racist, libellous, defamatory, contrary to public policy, infringing of a third party’s intellectual property or other rights, or otherwise unlawful;
    (ii) contains hate speech, “spam,” malicious code, adware, spyware or drive-by download applications; and/or
    (iii) promotes pornography, the use of illegal substances, illegal activity, racism, hate, “spam,” mail fraud, pyramid schemes, investment opportunities, or advice not permitted by law.
  2. That is bullying or harassment of any kind. This extends to all forms of sexual harassment, including sending unwanted sexually explicit, suggestive or nude images to other users.
  3. That does not respect the privacy rights of others. Sharing images of a person in a private space — like a bathroom, bedroom, locker room, or medical facility — without their knowledge and consent is prohibited, as is sharing another person’s private information without their knowledge and consent or for the purpose of harassment (i.e., “doxxing”).
  4. That is unlawful, misleading, discriminatory or fraudulent (or assists someone else in using Coco by Women In Work in such a way).
  5. That you do not own or have the necessary rights to share.
  6. That infringes or violates someone else's rights, including their intellectual property rights (such as by infringing another's copyright or trademark, or distributing or selling counterfeit or pirated goods), unless an exception or limitation applies under applicable law.
  7. You may not upload viruses or malicious code, use the services to send spam or do anything else that could disable, overburden, interfere with or impair the proper working, integrity, operation or appearance of our services, systems or Products.
  8. You may not access or collect data from Coco by Women In Work using automated means (without our prior permission) or attempt to access data that you do not have permission to access.
  9. You may not proxy, request or collect Coco by Women In Work usernames or passwords, or misappropriate access tokens.
  10. You may not sell, license or purchase any data obtained from us or our services.
  11. You may not misuse any reporting, flagging, dispute or appeals channel, such as by making fraudulent, duplicative or groundless reports or appeals.

We want people to use Coco by Women In Work to express themselves and to chat with one another to build friendships, but not at the expense of the safety and well-being of others or the integrity of our community. You therefore agree not to engage in the conduct described above (or to facilitate or support others in doing so), otherwise we reserve the right to terminate your usage of our service.

You are not permitted to:

• Edit, alter, modify, adapt, translate or otherwise change the whole or any part of the Software nor permit the whole or any part of the Software to be combined with or become incorporated in any other software, nor decompile, disassemble or reverse engineer the Software or attempt to do any such things
• Reproduce, copy, distribute, resell or otherwise use the Software for any commercial purpose
• Allow any third party to use the Software on behalf of or for the benefit of any third party
• Use the Software in any way which breaches any applicable local, national or international law
• use the Software for any purpose that Women In Work Limited considers is a breach of this License Agreement

Payment and Cashback

To enjoy full access of Coco by Women In Work, you need to sign up for a subscription. To offer flexibility of choosing the coffee a user likes, you can choose our various coffee shops partners through Coco by Women In Work, or any other coffee shops in the world.

Coffee beverages purchased via subscription will be offered in the form of cashback. Crediting of cashback is subject to a successful physical and private meetup of 2 or more users in the same physical space.

Women In Work Limited reserves the right to request a receipt of the consumption of an actual coffee in coffee shops of 2 or more people to validate the cashback.

Intellectual Property and Ownership

Women In Work Limited shall at all times retain ownership of the Software as originally downloaded by you and all subsequent downloads of the Software by you. The Software (and the copyright, and other intellectual property rights of whatever nature in the Software, including any modifications made thereto) are and shall remain the property of Women In Work Limtied.

Women In Work Limited reserves the right to grant licences to use the Software to third parties.

Termination

This License Agreement is effective from the date you first use the Software and shall continue until terminated. You may terminate it at any time upon written notice to Women In Work Limtied.

It will also terminate immediately if you fail to comply with any term of this License Agreement. Upon such termination, the licenses granted by this License Agreement will immediately terminate and you agree to stop all access and use of the Software. The provisions that by their nature continue and survive will survive any termination of this License Agreement.

Governing Law

This License Agreement, and any dispute arising out of or in connection with this License Agreement, shall be governed by and construed in accordance with the laws of Hong Kong.
